Terms of Service

These Terms of Service (“Terms”) govern access to and use of Gridfire.pro and the websites, software, applications, tools, features, and services provided by Gridfire Technologies (“Gridfire,” “we,” “us,” or “our”), collectively referred to as the “Service.”
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, dealership, dealer group, or other legal entity, you represent that you have authority to bind that entity and its authorized users to these Terms.
If you do not agree to these Terms, you may not use the Service.
We may update these Terms from time to time. Material changes may be communicated by email, through the Service, or by posting an updated version on our website. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
A. Account Terms
You must be at least 18 years old to use the Service.
Users accessing dealership features must be authorized by the dealership, dealer group, or other business organization associated with the account.
You must provide accurate and complete information when creating and maintaining your account.
Individual user credentials may not be shared unless expressly permitted by your Gridfire subscription plan. Each user is responsible for maintaining the confidentiality and security of their login credentials.
You are responsible for all activity occurring under your account and for ensuring that authorized users comply with these Terms.
You may not use the Service for any illegal, fraudulent, misleading, unauthorized, abusive, or unlawful purpose.
You are responsible for complying with all laws, regulations, dealership policies, and contractual requirements applicable to your use of the Service.
B. Dealership and Customer Data
Gridfire provides software tools to automotive dealerships and related businesses. Dealership users may enter customer, vehicle, transaction, survey, product, pricing, and related information into the Service.
You represent and warrant that you have the legal right and appropriate authority to collect, use, enter, upload, transmit, and process any information that you provide through the Service.
You are responsible for obtaining all notices, permissions, authorizations, and consents required before providing customer information to Gridfire or using that information to communicate with a customer.
Gridfire does not determine whether a dealership has obtained legally sufficient consent from a particular customer. The dealership is responsible for maintaining appropriate records of customer consent.
Gridfire may process customer information on behalf of the dealership in order to provide the Service.
Our handling of personal information is also governed by our Privacy Policy.
C. SMS and Electronic Communications
Certain Gridfire features may allow dealerships to send SMS, email, or other electronic communications to customers.
Dealership users may only send SMS communications to recipients who have provided appropriate consent to receive those messages.
SMS consent is optional and must not be made a condition of purchasing a vehicle, product, or service unless otherwise permitted by applicable law.
Users must not use Gridfire to send unsolicited SMS messages, spam, unauthorized marketing communications, purchased contact lists, or messages to recipients who have opted out.
Users are responsible for complying with applicable telecommunications, consumer protection, privacy, and messaging laws and industry requirements.
Recipients may reply STOP to opt out of SMS communications and HELP for assistance.
Message frequency may vary and message and data rates may apply.
Dealership users must honor customer opt-out requests and must not attempt to bypass or defeat messaging suppression or opt-out mechanisms.
Mobile phone numbers, SMS opt-in information, and messaging consent may not be sold, rented, transferred, or used through Gridfire for third-party marketing or promotional purposes.
Gridfire may suspend messaging functionality if we reasonably believe an account is being used in violation of these Terms, applicable law, carrier requirements, or messaging-provider policies.
D. Messaging Service Providers
Gridfire may use third-party telecommunications, SMS, email, hosting, or other service providers to deliver communications and operate the Service.
Message delivery may depend on third-party networks, telecommunications carriers, internet service providers, and external platforms that are outside Gridfire’s control.
Gridfire does not guarantee that any SMS, email, notification, link, or other communication will be delivered, delivered within a particular period, or received without interruption, filtering, delay, or error.
Carriers and service providers may block, delay, filter, throttle, reject, or otherwise restrict messages.
E. Signal, Artificial Intelligence, and Automated Recommendations
The Service may include features that use artificial intelligence, algorithmic processing, automation, survey responses, customer preferences, or other information to generate recommendations, summaries, explanations, product prioritization, menu configurations, or other suggested content.
These features, including Gridfire Signal and AutoPilot, are decision-support tools only.
AI-generated or automated content may contain errors, omissions, inaccuracies, or inappropriate recommendations and should be reviewed by an authorized dealership user when appropriate.
Gridfire does not guarantee that any automated recommendation will be appropriate for a particular customer, transaction, dealership, jurisdiction, or business purpose.
The dealership remains solely responsible for final product selection, pricing, disclosures, menu presentation, regulatory compliance, customer communications, and all decisions made in connection with a transaction.
Nothing generated by Gridfire constitutes legal, tax, accounting, compliance, lending, insurance, or financial advice.
F. API Terms
Customers may be permitted to access Gridfire account data or functionality through an application programming interface (“API”).
Use of the API is subject to these Terms and any additional API documentation, usage limits, security requirements, or policies provided by Gridfire.
You may not attempt to circumvent API limits, authentication mechanisms, security controls, rate limits, or access restrictions.
Abusive, excessive, unauthorized, or disruptive API requests may result in temporary or permanent suspension of API access.
Gridfire may modify, restrict, suspend, or discontinue API access at any time.
Gridfire is not responsible for third-party products, systems, integrations, applications, or services that access Gridfire through an API.
G. Payment, Billing, Refunds, Upgrades, and Downgrades
Paid subscriptions require an approved payment method unless alternative billing arrangements have been accepted by Gridfire.
Subscription fees are billed in advance according to the billing interval selected by the customer.
Except where required by applicable law or expressly agreed otherwise in writing, subscription payments are non-refundable.
There are no refunds or credits for partial subscription periods, unused time, or unused Service features.
Customers changing subscription plans may be charged or credited according to the applicable plan and remaining subscription period.
All fees are exclusive of applicable taxes, assessments, duties, or similar government charges unless stated otherwise.
The customer is responsible for paying applicable taxes associated with the Service, excluding taxes imposed on Gridfire’s income.
Downgrading a subscription may result in reduced functionality, storage, capacity, users, or access to certain Service features.
H. Cancellation and Termination
Customers are responsible for properly canceling their subscription using the cancellation functionality available within their account or another cancellation method expressly provided by Gridfire.
Cancellation stops future subscription renewals according to the applicable billing terms.
Cancellation does not automatically entitle a customer to a refund for amounts already paid.
Following termination or cancellation, account data may become unavailable and may subsequently be deleted in accordance with Gridfire’s data retention practices and legal obligations.
Customers are responsible for exporting or retaining any information they require before cancellation.
Gridfire may suspend or terminate access to the Service if we reasonably believe an account has violated these Terms, poses a security or legal risk, has unpaid amounts due, abuses the Service, or threatens the operation of the platform.
I. Modifications to the Service and Pricing
Gridfire may modify, enhance, replace, discontinue, or temporarily suspend any part of the Service.
Features may be added, removed, modified, or replaced as the Service evolves.
Subscription pricing may change upon reasonable notice to customers.
Gridfire will not be liable for modification, suspension, discontinuation, or pricing changes to the extent permitted by law.
J. Customer Content and Intellectual Property
You retain ownership of content and information that you submit to the Service (“Customer Content”).
You grant Gridfire a limited right to host, process, transmit, display, modify, and otherwise use Customer Content as reasonably necessary to operate, maintain, secure, support, and improve the Service.
You represent that Customer Content does not violate applicable law, intellectual property rights, privacy rights, contractual rights, or other rights of third parties.
Gridfire may remove or restrict access to Customer Content if reasonably necessary to comply with law, enforce these Terms, protect users, or protect the Service.
Gridfire and its licensors retain all rights, title, and interest in the Service, including software, source code, databases, interface design, graphics, trademarks, logos, documentation, workflows, and related intellectual property.
Except as expressly permitted by Gridfire, you may not reproduce, copy, modify, reverse engineer, distribute, sell, sublicense, or commercially exploit any portion of the Service.
K. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Gridfire Technologies and its officers, directors, employees, contractors, affiliates, and service providers from claims, liabilities, losses, damages, expenses, and reasonable attorneys’ fees arising out of or related to:
- Your use or misuse of the Service;
- Your violation of these Terms;
- Your Customer Content;
- Your violation of applicable law;
- Your communications with customers;
- Your failure to obtain required consent or authorization;
- Your products, pricing, representations, disclosures, or customer transactions; or
- Your infringement or violation of the rights of another person or entity.
L. Acceptable Use
You may not:
- Use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
- Attempt to gain unauthorized access to the Service or another user’s account;
- Interfere with or disrupt the operation or security of the Service;
- Upload or transmit malware, viruses, destructive code, or malicious content;
- Use automated systems in a manner that imposes an unreasonable load on the Service;
- Send unsolicited email, SMS messages, spam, or unauthorized communications;
- Harvest, scrape, or improperly collect personal information through the Service;
- Impersonate another person, dealership, or organization;
- Use the Service to violate intellectual property, privacy, publicity, or contractual rights;
- Attempt to bypass security, billing, access control, or usage restrictions; or
- Resell or commercially exploit the Service except as expressly authorized in writing by Gridfire.
M. Third-Party Services and Integrations
The Service may integrate with or depend upon third-party services, including hosting providers, messaging providers, payment processors, artificial intelligence services, dealership systems, CRM systems, DMS systems, and other external platforms.
Gridfire is not responsible for the availability, security, accuracy, performance, policies, or conduct of third-party services.
Use of third-party services may be subject to separate terms and privacy policies.
Changes made by a third-party provider may affect the availability or functionality of a Gridfire integration.
N. Service Availability
The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
Gridfire does not guarantee uninterrupted or error-free operation. Maintenance, updates, internet failures, hosting issues, third-party service interruptions, telecommunications outages, security events, or other circumstances may affect availability.
Gridfire may perform maintenance, upgrades, security changes, and other technical work that temporarily affects the Service.
O. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDFIRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
GRIDFIRE DOES NOT WARRANT THAT:
- The Service will meet every customer’s specific requirements;
- The Service will be uninterrupted, timely, secure, or error-free;
- Any calculation, recommendation, AI-generated output, survey interpretation, payment estimate, or other result will be accurate or complete;
- Third-party integrations or communications will always be available;
- Messages will always be delivered; or
- Errors or defects will always be corrected.
P. Financial and Transaction Calculations
Payment estimates, finance calculations, lease calculations, taxes, product pricing, rates, terms, dealer reserve calculations, and other transaction information displayed by Gridfire are provided as tools for dealership use.
The dealership is responsible for verifying all calculations, rates, terms, taxes, prices, disclosures, and transaction information before presenting or relying upon them.
Gridfire does not make credit decisions, extend credit, underwrite insurance, sell financial products, or determine the legal sufficiency of dealership disclosures.
Q. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDFIRE TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DATA, CUSTOMER RELATIONSHIPS, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES.
THIS LIMITATION APPLIES TO DAMAGES ARISING FROM:
- Use of or inability to use the Service;
- Errors or inaccuracies in the Service;
- AI-generated recommendations or automated decisions;
- Customer communications or message delivery failures;
- Unauthorized access to or alteration of data;
- Third-party systems or integrations;
- Loss or corruption of data;
- Service interruption or downtime; or
- Any other matter relating to the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDFIRE’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO GRIDFIRE FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
R. Privacy
Use of the Service is also subject to the Gridfire Privacy Policy.

S. General Conditions
Failure by Gridfire to enforce any provision of these Terms does not waive our right to enforce that provision later.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.
These Terms, together with our Privacy Policy and any applicable subscription, order, API, or service agreement, constitute the agreement between you and Gridfire regarding use of the Service and supersede prior versions relating to the same subject matter.
You may not assign or transfer your rights under these Terms without Gridfire’s prior written consent. Gridfire may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or part of its business.
